Terms and Conditions

Last updated: September 28, 2026

These Terms and Conditions ("Terms") govern your use of the SP Digital Solutions website and your purchase of our services. Please read them carefully before using this website or engaging our services.

1. Acceptance of Terms

By accessing this website or engaging our services, you agree to these Terms. If you do not agree, please do not use this website or our services. These Terms apply to visitors browsing this website and to businesses and individuals ("Client," "you") who purchase a website build or hosting plan from 2794946 Alberta Inc., operating as SP Digital Solutions ("Company," "we," "us").

2. Services

2.1 Company provides website design and development, hosting, and ongoing support for businesses, built on a third-party AI-assisted website development and hosting platform (the "Platform").

2.2 The specific scope of a website build, and the specific hosting plan selected, are set out in a signed Website Design and Development Services Agreement and one of the six Website Hosting Agreements matching the client's selected plan and billing period (together, the "Client Agreements") entered into with each client. If anything in these Terms conflicts with a client's signed Client Agreements, the Client Agreements control.

3. Fees and Payment

3.1 The one-time website build fee is $999.99 CAD for our standard business website, or $1,499.99 CAD for a website that includes a booking system, plus applicable taxes (the "Build Fee"). No deposit is charged.

3.2 The Build Fee is charged after the website design is complete and approved by the client, and immediately before the website is published ("go-live"). It is charged together with the first payment of the client's selected hosting plan.

3.3 Hosting plans (Silver, Gold, or Elite) are billed in advance, monthly or annually. Annual billing receives a 10% discount. Current plan pricing and features are set out in Appendix A to these Terms, and in the client's signed Hosting Agreement.

3.4 All fees are in Canadian dollars and do not include applicable taxes. Payment is processed through Stripe. You are responsible for providing valid, current payment information, and hosting fees are billed on a recurring basis until cancelled.

4. Client Responsibilities

You agree to provide accurate information, timely feedback during the design process, content and assets as needed, and payment of all applicable fees. Delays in providing content or feedback may affect project timelines.

5. Ownership

5.1 Company Property. As between Company and the client, Company owns and retains all right, title, and interest in each website it builds, including its design, layout, code, application structure, configuration, and components (the "Company Property"). Purchasing a website build and hosting plan does not transfer ownership of the Company Property to the client.

5.2 Client's licence. While a client's hosting plan is active and its fees are paid, Company grants the client a non-exclusive, non-transferable licence to have Company publish and operate its website and to use it in the client's business.

5.3 Client content. The client owns the text, logos, photographs, trademarks, and other materials it provides to Company ("Client Content"). The client grants Company a licence to use Client Content to build, host, and maintain its website, and permits Company to display the completed website in Company's portfolio unless the client objects in writing.

5.4 Domain name. If a client already owns a domain name before engaging Company, the client keeps ownership of that domain and will give Company the access it needs to point the domain to the website. If Company registers a new domain name for a client as part of the Build Fee, Company owns and controls that domain registration, and the client has a licence to use it on the same basis as its licence to the Company Property, for as long as its hosting plan remains active and in good standing. The Build Fee pays for registering a new domain where applicable; it is not a purchase of that domain by the client.

5.5 Third-party materials. Stock images, fonts, plugins, and other third-party components used in a website are licensed under their own terms and are not transferred to the client.

5.6 Optional transfer. Company may, at its sole discretion, agree in a separate signed writing to transfer ownership of a client's website build, a Company-registered domain name, or both, to that client for a buyout fee. Absent that signed writing, ownership remains with Company as described above.

6. AI-Assisted Development and the Platform

Client acknowledges that Company uses AI-assisted development tools and a no-code platform to build and host websites. The Platform is governed by its own terms, pricing, and availability, which Company does not control and which may change. AI-generated code and content can contain errors; Company reviews AI-generated output before publishing but does not warrant that it is free of all defects.

7. Security

Before publishing a website, Company applies a pre-launch security review covering data-access permissions, exposed keys or secrets in client-side code, and basic input validation on public forms, as described in the client's signed Design and Development Services Agreement. This describes reasonable pre-launch practice; it is not a warranty that any website is free of all security vulnerabilities, including vulnerabilities in the Platform itself.

8. Refunds

Refunds are governed by our separate Refund Policy, below. In general, the Build Fee is charged only once the client has approved the design and may be refunded in full within 7 days of go-live; hosting plans may be cancelled at any time, but a cancellation by the client does not refund the Build Fee, and an annual hosting plan the client cancels is non-refundable.

9. Warranty Disclaimer

Except as expressly stated in a signed Client Agreement, this website and our services are provided "as is," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Company is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of this website or our services.

10.2 Company's total liability to a client arising out of or relating to its Client Agreements will not exceed the total fees paid by that client to Company in the six (6) months before the event giving rise to the claim.

10.3 We are not responsible for downtime caused by the Platform, third-party hosting infrastructure, internet outages, or factors outside our control. Nothing in these Terms limits liability that cannot be limited by law, including for gross negligence, wilful misconduct, or fraud.

11. Termination

Termination of a client's website build and hosting plan is governed by the client's signed Client Agreements. In general, either party may end the relationship on written notice, hosting ends at the close of the current billing period, and the client's website is taken offline and its licence to the Company Property ends, subject to the content-export terms in those Agreements.

12. Business Transfer and Discontinuation of Service

12.1 Sale or transfer of our business. We may sell, merge, or otherwise transfer all or part of our business, including by assigning our Client Agreements and these Terms to the acquiring company, which will then assume our obligations to existing clients. We will give clients reasonable notice of a change that affects them. A sale or transfer of our business does not, on its own, change the terms of a client's existing signed Client Agreements.

12.2 Transfer to a client. Instead of, or in addition to, an optional buyout under Section 5.6, we may, at our sole discretion, transfer ownership of a specific client's website build, a Company-registered domain name, or both, to that client, with or without a fee, including as part of winding down our business under Section 12.3.

12.3 If we discontinue our services. If we decide to stop offering our services generally, or to close our business, we will give active clients at least 30 days' written notice where reasonably possible. Before service ends, we will make each client's own Client Content available for export, and we may, at our discretion, offer to transfer a client's website build and any Company-registered domain name to that client instead of shutting it down.

12.4 Refund if we discontinue within one year of go-live. If we discontinue our services under Section 12.3 within 12 months after the date a client's website was first published (that client's "Go-Live Date"), we will refund that client: (a) a pro-rated portion of the Build Fee, calculated on a straight-line monthly basis as the Build Fee multiplied by the number of full months remaining between the discontinuation date and the first anniversary of the client's Go-Live Date, divided by 12; and (b) any hosting fees the client has already paid for a period of service they will not receive because of the discontinuation. We will pay this refund within 15 business days of discontinuation.

12.5 No refund after one year. If we discontinue our services more than 12 months after a client's Go-Live Date, we are not required to refund any fees. We may, at our sole discretion, choose to issue a full or partial refund in a given case, whether before or after the 12-month mark, and doing so does not obligate us to do so again. This Section does not limit any right that cannot be waived under Alberta's Consumer Protection Act or other applicable law, including for a client who is an individual under Section 13.

13. Individual Clients and Consumer Protection

If you are an individual (including a sole proprietor) acquiring our services primarily for personal, family, or household purposes, nothing in these Terms limits any right or protection that cannot be waived under Alberta's Consumer Protection Act, including any cancellation right that applies to Internet sales contracts. If these Terms conflict with that Act, the Act prevails.

14. Acceptable Use

You will not use this website or our services to host or distribute unlawful, infringing, fraudulent, or abusive content, spam, or malware, or content that threatens the security of the Platform or others. We may remove content or suspend a website immediately if we reasonably believe this section is breached, or if required by the Platform, our payment processor, or law.

15. Dispute Resolution

15.1 If a dispute arises out of or relating to these Terms or a Client Agreement, we will first attempt to resolve it with you through good-faith negotiation.

15.2 If the dispute is not resolved through negotiation within 30 days, the parties agree to submit it to mediation in the Province of Alberta before starting any court proceeding.

15.3 Any court proceeding will be brought exclusively in the courts of the Province of Alberta. This Section does not limit any right of an individual client to bring a complaint to a regulator or tribunal that cannot be waived under Alberta's Consumer Protection Act.

16. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there.

17. Changes to These Terms

We may update these Terms at any time, including plan pricing shown in Appendix A on at least 30 days' notice to active clients as described there. Continued use of our website or services after changes are posted means you accept the updated Terms. Changes do not apply retroactively to a client's already-signed Client Agreements.

18. Contact

Questions about these Terms can be sent to sales@spdigitalsolutions.com. 2794946 Alberta Inc., operating as SP Digital Solutions.
